2. Dialogs Agreement

This Dialogs Agreement ("Agreement") between Breakout Learning, Inc. ("Breakout Learning," "We," or "Us") and the undersigned ("You") outlines the terms of Breakout Learning’s services, effective upon your signature. You will consult on an educational experience ("Dialogs") based on the source material provided, while Breakout Learning will develop related tools, prompts, and rubrics. We retain all rights to the Dialogs, which are not considered works made for hire, and You irrevocably assign any potential rights to Us. We may edit, adapt, or not use the Dialogs at our discretion, and you will not be liable for our changes or non-use. We are an independent contractor, and all confidential information must be protected. You warrant your work is original and indemnify Us against any claims against your contributions. The governing law is the State of Texas, and disputes will result in the liable party covering reasonable attorney fees. Amendments may be made with prior written notice for future Dialogs, and assignment requires our consent.
