In addition to our Terms of Use and Privacy Policy, the terms herein shall apply to (i) faculty members using the Services in the course of providing instruction to enrolled students at Your Institution; (ii) corporate users using the Services in the course of providing learning and training materials to employees at their employer; and (iii) others to whom we’ve made available our content-generating Services.

The Services may provide you with access to learning content created or licensed from third parties by us (“Breakout Originals”). The Services may also allow you to create customized content based on your inputs to the Services (“Generated Content”).

Breakout Originals are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Generated Content is owned by you. You hereby grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, display, and perform the Generated Content in connection with Services.

The Services allow you, prior to publication, to determine whether you wish to make each piece of Generated Content derived from the Services: 

(i) available for use by other clients of ours; and/or 
(ii) usable by us to prepare derivative works for other clients of ours.

The platform defaults are such that you permit Generated Content to be available for use by other clients of ours and usable by us to prepare derivative works for other clients of ours (“Platform Defaults”). If you do not adjust the Platform Defaults prior to publication on the Services of your Generated Content (i) we cannot guarantee that the Generated Content will be not be used and distributed according to the Platform Defaults; and (ii) we disclaim any liability resulting from the use and distribution of Generated Content in accordance to the Platform Defaults.

You represent and warrant that any contributions you provide in order to create or modify Generated Content are not protected by any third party’s intellectual property rights in any jurisdiction or to the extent they are so protected you have the right or license to provide the contributions to Breakout Learning Inc. as contemplated herein.
